Jam / JamStudio Terms of Service
Effective date: [DATE]
Provider: [LEGAL NAME], [LEGAL FORM/REGISTER NUMBER], [REGISTERED ADDRESS] (“Jam”, “we”, “us”). Contact: [SUPPORT EMAIL].
These Terms govern access to and use of the Jam / JamStudio website, applications, music-analysis tools, generated analytical outputs, and optional hosting/sharing features (collectively, the “Service”). By creating an account, buying a plan, or using the Service, you agree to these Terms. If you use the Service for an organisation, you confirm that you can bind that organisation; “you” includes that organisation.
Nothing in these Terms excludes rights that cannot lawfully be excluded, including mandatory consumer protections applicable in your country of habitual residence.
1. The Service
Jam provides technical tools to analyse audio and related material that you upload from your device. The Service may generate analyses, annotations, transformations, summaries, metadata, visualisations and other outputs (“Outputs”). Output may be incomplete, inaccurate, unavailable, or unsuitable for a particular purpose. You must independently review Output before relying on, releasing, distributing, or monetising it.
Jam is a utility provider. It is not a music publisher, record label, music distributor, collecting society, rights-clearance service, legal advisor, or agent for users or rightsholders. Jam does not determine who owns a work, recording, lyric, sample, performance, name, image or other material, and does not grant rights in third-party material.
2. Accounts and eligibility
You must provide accurate account information, keep credentials secure, and promptly notify us at [SECURITY EMAIL] of suspected unauthorised use. You must be at least [AGE], or have a parent/guardian’s permission where applicable. You are responsible for activity on your account except to the extent caused by our breach or security failure.
3. Your Content and your responsibilities
“User Content” means audio, recordings, compositions, lyrics, artwork, metadata, files and other material you upload from your device, create, make public, or instruct the Service to process.
You represent and warrant that you have all rights, licences, permissions, releases and consents necessary to: (a) submit and have Jam process User Content; (b) make any selection you make regarding private, unlisted or public availability; (c) reproduce, communicate/make available, distribute, synchronise, adapt, monetise or otherwise exploit User Content and Output as you do; and (d) grant the limited licence in Section 4. This includes, where relevant, permissions from the songwriter/publisher (composition), the record label/owner (master recording), performers, producers, lyric and sample owners, artwork owners, and people whose voice, name or image appears.
For example, owning a file, having a streaming subscription, or writing a song does not necessarily give you every permission needed: a publisher, collecting society, label or collaborator may also hold rights. You must comply with any recording, publishing, label or collective-management agreement that applies to you. Jam does not check these rights for you.
You must not use the Service to infringe intellectual-property or personality rights; break law; upload unlawful, harmful, deceptive or confidential material without authorisation; evade technical restrictions; interfere with the Service; scrape or reverse engineer the Service except where law permits; or use Outputs to falsely identify rights ownership or licences.
You—not Jam—are responsible for rights clearance and for your decision to analyse, upload, share, distribute, release or commercially exploit User Content or anything containing or derived from it. The fact that Jam accepts, processes or makes content technically available does not mean it is lawful or cleared.
4. Licence needed to operate the Service
You retain your rights in User Content. You grant Jam a non-exclusive, worldwide, royalty-free licence to host, reproduce, transmit, convert, analyse, display to you and your authorised collaborators, and otherwise process User Content only as necessary to provide, secure, support and improve the Service, comply with law, and enforce these Terms. Jam may grant corresponding limited rights to its hosting, infrastructure, AI and support providers solely for those purposes.
Jam does not use User Content or Output to train or fine-tune artificial-intelligence or machine-learning models. This licence does not grant any such right. Jam may use aggregated or de-identified technical service data—such as feature-use, performance and security metrics—to operate, test and improve the Service, provided it does not identify you, your User Content or your Output.
If you choose to make User Content or Output public, you also grant Jam the licence necessary to host, cache, transmit and display it to the public according to your selected sharing settings until you remove it or the Service ends, subject to reasonable backup and legal-retention periods. You may unpublish it through [FEATURE/PATH]; this does not undo lawful copies or uses made before removal.
5. Confidentiality of private content
Jam will treat private User Content and private Output as confidential and will not disclose or make them available to third parties except as necessary to provide, secure, support or troubleshoot the Service; to authorised processors under confidentiality obligations; to comply with law, legal process or a valid governmental request; to establish, exercise or defend legal claims; to investigate abuse or enforce these Terms; or when you direct or authorise sharing. This obligation does not apply to content you make public, information independently developed without use of the confidential content, or information that becomes public through no breach by Jam.
6. Outputs and commercial use
As between you and Jam, and subject to your compliance with these Terms and payment obligations, Jam grants you a non-exclusive, worldwide, transferable [OR: non-transferable], sublicensable [OR: non-sublicensable] licence to use the portions of Output created by the Service for personal and commercial purposes.
This licence covers only Jam’s rights, if any, in the original analytical expression or formatting in the Output. It does not grant any licence in User Content, any source song/recording, recognizable audio, lyrics, melody, sample, performance, artwork, name, or third-party material reflected in the Output. You must obtain all necessary permissions before any use, public sharing, distribution, monetisation, or other commercial exploitation. We do not promise that Output is copyrightable, exclusive, original, non-infringing, accurate, or available for commercial release.
You may not redistribute, sublicense, package, or make Output available as standalone samples, loops, sound effects, lyrics, datasets, or a sample library (even if modified), except as a component of a broader musical, audiovisual or other work you are otherwise entitled to use. You may not use the Service, Output, or data obtained from the Service to train, develop or inform an artificial-intelligence or machine-learning model, except through a Jam feature that expressly permits it in writing.
[OPTIONAL PLAN LIMIT: Free-plan Outputs may be used only for non-commercial evaluation until the applicable paid licence is obtained. State the exact rule, not a vague “commercial use may be restricted.”]
7. Sharing and public availability
Projects are private by default. If the Service offers unlisted links or public sharing, you must deliberately select that option and confirm that you have the rights and consents required. An unlisted link can be forwarded; it is not a security or confidentiality guarantee.
Before making content public, you agree: “I have all rights, permissions and consents necessary to make this material available through Jam and accept responsibility for that decision.” Do not publish unless that statement is true.
We may remove, restrict, disable, unpublish, or preserve content where reasonably necessary to comply with law, protect users/rightsholders, address a sufficiently supported complaint, investigate a breach, or protect the Service. Where required, we will give an affected user a clear statement of reasons and access to the complaint process in our Copyright and Takedown Policy.
8. Payments, subscriptions and cancellation
Prices, billing periods, taxes, automatic-renewal terms, trial conditions, plan limits and cancellation process are displayed at checkout or in your order form. You authorise [PAYMENT PROVIDER] to charge the selected payment method. You may cancel future renewals through [BILLING PATH]; access remains until the end of the paid period unless stated at checkout.
[COUNSEL: Insert country-specific consumer pre-contract information, withdrawal/cancellation rules and any waiver for immediate supply of digital content/services only where the required express consent and acknowledgement have been collected.]
9. Intellectual property in the Service
Jam and its licensors retain all rights in the Service, software, models, branding and documentation, excluding User Content and rights expressly granted to you. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. Feedback may be used by Jam without restriction or compensation, provided it does not identify you or disclose your confidential information.
10. Copyright and other reports
Our Copyright and Takedown Policy explains how rightsholders and users may report allegedly illegal content and seek review. Send notices to [NOTICE EMAIL/FORM URL]. We may act expeditiously on sufficiently substantiated notices, but do not decide complex ownership disputes without appropriate information or legal process.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access where reasonably necessary for security, non-payment, legal compliance, repeated or serious breach, or to prevent harm. Except where urgent action is required, we will use proportionate measures and give notice. Sections that should survive by their nature—including rights, liability, payment due, dispute resolution and recordkeeping—survive termination.
12. Disclaimers and liability
The Service and Output are provided on an “as available” basis. To the maximum extent permitted by law, Jam disclaims warranties that the Service or Output will be uninterrupted, error-free, accurate, complete, fit for a particular purpose, non-infringing, or rights-cleared.
To the maximum extent permitted by law, Jam is not liable for indirect, incidental, special, consequential or punitive loss; loss of profit, revenue, goodwill or data; or claims arising from your User Content, your lack of permissions, or your decision to share, distribute or exploit User Content or Output. Jam’s aggregate liability arising out of the Service is limited to the amounts you paid to Jam for the Service during the 12 months before the event giving rise to liability, or [EUR/AMOUNT] if you paid nothing. This does not limit liability that cannot lawfully be limited, including [INSERT MANDATORY LOCAL EXCEPTIONS].
You will indemnify Jam and its personnel against third-party claims, losses and reasonable costs arising from your User Content or your breach of Sections 3–7, except to the extent caused by Jam’s own unlawful conduct or breach. [COUNSEL: adjust or omit for consumers where local law requires.]
13. Changes and contact
We may update the Service and these Terms. For material changes, we will provide reasonable advance notice through the Service or email and state the effective date. Continuing use after that date means you accept the updated Terms, subject to mandatory law.
These Terms are governed by the laws of [JURISDICTION], excluding conflict rules, with courts at [VENUE], without limiting any mandatory consumer forum or protections. Contact [LEGAL EMAIL] with questions.
